1. Acceptance of these Terms

These Terms of Use ("Terms") form a binding agreement between you and Telesto Strategy LLC ("Telesto," "we," "us," or "our"). By accessing or using telestostrategy.com or any sub-domain, downloading our publications, interacting with our AI chatbot, or otherwise using content we make available online (the "Site"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Changes to the Terms

We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after the revised Terms become effective constitutes acceptance of the revised Terms.

3. Permitted use

Telesto grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your internal, non-commercial business or personal informational purposes. You may print or download a single copy of pages or publications for that purpose, provided all proprietary notices remain intact.

4. Prohibited conduct

You agree not to:

• Reproduce, redistribute, publish, modify, create derivative works from, or sell any portion of the Site without our prior written consent.
• Use the Site to compete with Telesto, including by training machine-learning models on our content without a written license.
• Scrape, spider, or harvest content using automated means in a manner that imposes unreasonable load on the Site.
• Reverse-engineer, decompile, or otherwise attempt to derive source code from any Site component.
• Attempt to gain unauthorized access to any portion of the Site or any related systems.
• Misrepresent your identity, including in submissions to forms or the chatbot.
• Use the Site in any manner that violates applicable law or the rights of any third party.

5. Intellectual property & license

The Site, including all text, graphics, layouts, logos, frameworks, methodologies, downloadable materials, code, and the selection and arrangement thereof, is owned by Telesto or its licensors and is protected by United States and international copyright, trademark, and other intellectual-property laws. Except for the limited license in Section 3, no rights are granted to you by implication, estoppel, or otherwise.

6. Trademarks

Telesto™, ARIA™, GEAR™, HALO™, Healthcare Asset & Loyalty Outlook™, and the Telesto logo are trademarks of Telesto Strategy LLC. All other trademarks, service marks, and logos appearing on the Site are the property of their respective owners and are used for descriptive or nominative purposes only. 7. Third-party content & links

The Site may reference or link to third-party websites, publications, products, or services. Such references are provided for convenience and do not constitute endorsement. Telesto is not responsible for the content, accuracy, or practices of third parties. Quotations, statistics, and named-source attributions are presented under nominative fair use; readers should consult the original source for the most current information.

8. AI chatbot & generated content

The AI chatbot on the Site uses third-party large-language-model providers. Responses are generated by software, may be inaccurate or incomplete, and may not reflect Telesto's official position. Do not submit confidential, regulated, or sensitive personal information through the chatbot. Telesto is not liable for any decision made or action taken in reliance on chatbot output.

Telesto does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

13. Limitation of liability

To the fullest extent permitted by law, Telesto and its members, managers, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Site, even if Telesto has been advised of the possibility of such damages. Telesto's aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Telesto and its members, managers, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.

15. Governing law & venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

16. Miscellaneous

These Terms, together with the Privacy Policy and any executed engagement agreement, constitute the entire agreement between you and Telesto regarding the Site. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
